1. Scope of service

Adly (operated by [Legal entity — to be updated once business registration completes], hereafter "Adly") provides software for managing and automating advertising on Meta platforms (Facebook, Instagram, Messenger) for retailers in Vietnam, accessed via adly.asia.

Adly is a supporting tool, not your advertising representative before Meta. Every ad account, Page and budget remains your property and your responsibility.

2. Accounts and the Meta connection

You are responsible for the accuracy of your registration details and for keeping your Adly credentials secure.

When you connect Business Manager you grant Adly limited read/write access, scoped to what is needed to build drafts, publish campaigns and sync performance data. You can disconnect at any time in settings.

3. Plans, payment and plan changes

Adly charges a flat fee by monthly ad-spend tier and never takes a percentage of your ad spend (the single exception being the Agency plan's hybrid model, stated explicitly on the Pricing page).

The spend tier is a fair-use limit: exceeding it does not cut off your service immediately, and Adly only prompts an upgrade when you exceed it persistently. Downgrading mid-cycle does not refund the used portion and takes effect from the next cycle.

Listed prices include VAT. Invoices are issued using the details you provide at the time of payment.

4. Limits of the automation features

Adly provides proposals and, if you explicitly enable it, automatic execution of these actions: pause, activate, adjust budget. Adly never publishes a new campaign or changes any other configuration on its own.

You retain full control over enabling and disabling auto-execute, and you remain responsible for the ad spend actually incurred on your Meta account.

5. Limitation of liability

Adly does not control Meta's policies, delivery algorithms or ad approval decisions. Adly does not guarantee business outcomes (revenue, ROAS, order counts) from using the service.

To the extent permitted by law, Adly's liability, if any, is limited to the fees you have paid to Adly over the preceding three months.

6. Suspension and termination

Adly may suspend an account that breaches these terms or shows signs of fraud, after notice except in urgent cases.

You may cancel at any time. A minimum set of data is retained for 90 days after an account moves to the Free plan or is cancelled, unless you request earlier deletion under the Data deletion policy.

7. Changes to these terms

Adly may update these terms over time. Material changes will be announced by email or in the app before they take effect.

8. Governing law and contact
